Terms of Service

1. Acceptance

These Terms of Service (the “Terms”) form a binding agreement between you and HK BAUSHUN TRADE LIMITED (“HK BAUSHUN”, “we”, “us”, “our”) governing your access to and use of baotongshun.com, any sub-domain, the HK BAUSHUN mobile management application for iOS and Android, and any related application programming interface, download, or service we operate (together, the “Services”). By accessing, installing, or using the Services, or by clicking “I agree” where that option is presented, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any additional terms referenced in the Services.

If you do not agree, do not access, install, or use the Services.

2. Eligibility

You must be at least eighteen (18) years old, or the legal age of majority in your place of residence (whichever is higher), to use the Services. The Services are not intended for use by minors. By using the Services, you represent and warrant that you meet the age requirement, that you have the legal capacity to enter into a binding contract in your jurisdiction, and that you are not otherwise barred from using the Services under any applicable law.

If you are accepting these Terms on behalf of a company, partnership, or other legal entity, you further represent and warrant that you have the authority to bind that entity, in which case “you” refers to that entity.

3. Account Registration & Security

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for every action that occurs under your account.

You must immediately notify us at support@baotongshun.com if you suspect any unauthorised access to or use of your account. We will not be liable for any loss caused by unauthorised account use where you have not taken reasonable steps to protect your credentials (for example, by using a unique password and enabling multi-factor authentication where available).

We may require identity verification for high-value or regulated transactions. Failure to complete verification may result in suspension of the affected features.

4. License Grant

Subject to your continuing compliance with these Terms, HK BAUSHUN grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Services for your internal business or personal purposes, as the case may be. This licence is conditional on your compliance with Section 5 and all other parts of these Terms, and it terminates automatically upon any breach.

You acquire no ownership interest in the Services. All rights not expressly granted to you are reserved by HK BAUSHUN and its licensors.

5. Acceptable Use

You agree not to, and not to authorise any third party to:

• Upload, post, transmit, or otherwise make available any content that is unlawful, infringing, defamatory, obscene, harassing, hateful, racially or ethnically offensive, or otherwise objectionable;
• Use the Services to violate any applicable law, regulation, or third-party right, including intellectual-property, privacy, and publicity rights;
• Scrape, crawl, mine, or otherwise extract data from the Services using automated means except as permitted by our published robots.txt and applicable law;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, except to the extent expressly permitted by applicable law (for example, where reverse engineering is necessary to achieve interoperability under the EU Copyright Directive or equivalent local law);
• Modify, adapt, translate, or create derivative works of the Services, or remove, alter, or obscure any proprietary notices;
• Introduce malware, viruses, worms, logic bombs, ransomware, or any other malicious code into the Services or into the systems of other users;
• Attempt to gain unauthorised access to, interfere with, damage, or disrupt any part of the Services or the networks or systems used to provide the Services;
• Use the Services to send unsolicited communications, promotions, advertisements, or spam;
• Circumvent, disable, or otherwise interfere with security-related features of the Services.

We may suspend or terminate your access to the Services for any breach of this Section, with or without notice, and without liability to you.

6. Intellectual Property

The Services, including all software, designs, text, graphics, logos, icons, images, audio, video, code, and the selection and arrangement thereof (the “HK BAUSHUN Content”), are owned by HK BAUSHUN or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual-property laws.

“HK BAUSHUN”, “baotongshun.com”, the BTS mark, and any product or service names associated with the Services are trademarks of HK BAUSHUN or its affiliates. You may not use those marks without our prior written permission.

User content licence-back. If you submit, upload, or post any content to the Services (“User Content”), you retain ownership of your User Content, but you grant HK BAUSHUN a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify, publish, display, and distribute your User Content for the purposes of operating, developing, and promoting the Services.

DMCA and takedown process. We respect intellectual-property rights. If you believe content hosted by the Services infringes your copyright, send a written notice to our designated agent at legal@baotongshun.com that includes: (i) your physical or electronic signature; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the allegedly infringing material and its location on the Services; (iv) your contact information; (v) a statement that you have a good-faith belief that the use is not authorised; and (vi) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the rights holder or authorised to act on the rights holder’s behalf. We will process valid notices in accordance with applicable law, including the U.S. Digital Millennium Copyright Act (17 U.S.C. §512) and equivalent regimes in other jurisdictions. Counter-notices may be submitted to the same address.

7. User Content & Feedback

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not breach these Terms, any applicable law, or any third-party right.

Feedback. If you send us feedback, suggestions, ideas, or recommendations (“Feedback”), you grant HK BAUSHUN a royalty-free, worldwide, perpetual, irrevocable, sublicensable, and transferable licence to use, modify, and incorporate that Feedback into the Services without restriction or obligation to you. We have no obligation to use any Feedback you submit.

8. Mobile App Licence

The mobile application is licensed, not sold, to you. The licence terms differ depending on whether you obtain the app from the Apple App Store or Google Play.

8.1 Apple App Store

The app is made available through the Apple App Store. Your use of the app is also subject to the Apple Media Services Terms and Conditions, including the Standard End User License Agreement (the “Apple EULA”). You acknowledge that:

• These Terms are concluded between you and HK BAUSHUN, not with Apple, and HK BAUSHUN is solely responsible for the app and its content (subject to the Apple EULA).
• Apple has no obligation to furnish any maintenance or support services for the app.
• In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price for the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
• Apple is not responsible for addressing any claims by you or any third party relating to the app or your possession or use of the app, including product-liability claims, regulatory claims, and intellectual-property infringement claims.
• You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• HK BAUSHUN, and not Apple, is responsible for investigating, defending, settling, and discharging any third-party claim that the app or your possession and use of the app infringe that third party’s intellectual property rights.
• You must comply with applicable third-party terms of agreement when using the app.
• You acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms in respect of the app, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

This Section 8.1 reflects and incorporates the minimum terms required by App Store Review Guideline 3.1 / Schedule 2, Section 13 of the Apple EULA.

8.2 Google Play

The app is also made available through Google Play. Your use of the app obtained through Google Play is subject to (i) the Google Play Terms of Service, (ii) the Google Play Business and Program Policies, and (iii) the Android Application License Agreement. The app is licensed to you on a non-exclusive, worldwide, royalty-free basis for use only on an Android-compatible device that you own or control. The licence is contingent on your continued compliance with these Terms, the Google Play Terms of Service, and the Android Application License Agreement.

9. Subscriptions, In-App Purchases & Refunds

The Services may offer paid subscriptions, in-app purchases, and digital content (collectively, “Paid Products”). Paid Products are processed by Apple (via the App Store) or Google (via Google Play) on iOS and Android, and by our payment processor on the website. By purchasing a Paid Product, you agree to the billing terms of the relevant platform in addition to these Terms.

9.1 Auto-renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled at least twenty-four (24) hours before the end of the current cycle. The renewal price is the price disclosed at the time of purchase; we will notify you in advance of any price change, in line with the platform rules.

9.2 Cancellation

You can cancel a subscription at any time in your Apple ID or Google Play settings. Cancellation takes effect at the end of the current billing cycle; you will retain access to the subscription features until then.

9.3 Free trials

If a free trial is offered, you will not be charged during the trial. If you do not cancel before the trial ends, you will be charged the subscription price. Free trials cannot be combined with other offers unless stated otherwise.

9.4 Restore purchases

If you change device or reinstall the app, use the “Restore purchases” control in the app’s settings to recover your paid entitlements on the same account.

9.5 Refund policy

Refunds are governed by the Apple App Store and Google Play refund policies on iOS and Android. For website purchases, you may request a refund within fourteen (14) days of the transaction, unless you have begun or fully consumed the Paid Product. To request a refund, contact support@baotongshun.com with your order number. Where the Paid Product is billed by Apple or Google, the platform’s refund decision is final.

9.6 Apple and Google billing

Where you purchase a Paid Product through the Apple App Store or Google Play, the platform is the merchant of record. We are not responsible for billing errors caused by the platform. Disputes about platform billing must be raised with the platform first; we will assist you in good faith.

10. Third-Party Services & Advertising Platforms

The Services integrate third-party services and advertising platforms. Your use of those third-party services is subject to their own terms. The advertising partners integrated in the mobile app, with links to each partner’s terms, are:

We do not currently maintain direct relationships with every other third party whose links may appear in the Services. Each partner’s terms govern the data it processes; we do not accept responsibility for a partner’s practices, although we require each partner by contract to maintain a published privacy notice and to comply with applicable law.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an “as-is” and “as-available” basis, with all faults and without warranty of any kind. HK BAUSHUN and its licensors expressly disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, HK BAUSHUN makes no warranty that the Services will be uninterrupted, secure, free of harmful components, or error-free; that any defects will be corrected; or that the Services will meet your particular requirements. No advice or information, whether oral or written, obtained by you from HK BAUSHUN will create any warranty not expressly stated in these Terms.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will HK BAUSHUN, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for:

• any indirect, incidental, special, consequential, exemplary, or punitive damages;
• any loss of profits, revenues, customers, opportunities, goodwill, or anticipated savings;
• any loss of data or business interruption;
• any damages arising from your access to or inability to access the Services;
• any damages arising from any conduct or content of any third party on or through the Services;
• any unauthorised access, use, or alteration of your transmissions or content,

in each case, regardless of legal theory (contract, tort, statute, or otherwise), even if HK BAUSHUN has been advised of the possibility of such damages.

Where liability cannot be excluded, the aggregate liability of HK BAUSHUN and its affiliates for any and all claims arising out of or relating to the Services in the twelve (12) months immediately preceding the event giving rise to the claim will not exceed the greater of (a) the total amount you paid to HK BAUSHUN for use of the Services in that twelve (12) month period, or (b) one hundred United States dollars (US$100).

Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under applicable law (including death, personal injury, fraud, and certain statutory rights under consumer-protection law).

13. Indemnity

You agree to defend, indemnify, and hold harmless HK BAUSHUN and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

• your access to or use of the Services;
• your violation of these Terms;
• your violation of any third-party right, including intellectual-property, privacy, or publicity rights;
• any claim that your User Content caused damage to a third party.

This indemnity survives termination of these Terms and your use of the Services.

14. Export Control & Sanctions

You represent and warrant that you are not located in, or a resident or national of, any country subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (“OFAC”), the European Union, the United Kingdom, the United Nations, or Hong Kong; and that you are not on any restricted-party list maintained by those authorities (including the OFAC Specially Designated Nationals List, the U.S. Entity List, the U.K. Consolidated List, and the EU Consolidated List).

You agree to comply with all applicable export-control and sanctions laws, including the U.S. Export Administration Regulations, the International Traffic in Arms Regulations, the EU Dual-Use Regulation, the UK Strategic Export Control, the UN sanctions resolutions, and the Hong Kong Import and Export Ordinance. You will not use the Services to, directly or indirectly, export, re-export, or transfer any controlled item, software, or technology in violation of those laws.

15. Anti-Bribery & Anti-Corruption

HK BAUSHUN conducts its business in compliance with the Prevention of Bribery Ordinance (Cap. 201) of Hong Kong, the Bribery Act 2010 of the United Kingdom, and the U.S. Foreign Corrupt Practices Act, as well as the anti-bribery and anti-corruption laws of any other jurisdiction in which we operate.

You agree that you will not, directly or indirectly, offer, promise, give, request, or accept any bribe, kickback, undue advantage, or other improper payment to or from any person, including any government official, political party, or candidate for public office, in connection with your use of the Services or your relationship with HK BAUSHUN.

16. Modern Slavery & Supply Chain

HK BAUSHUN is committed to ensuring that there is no modern slavery or human trafficking in our supply chain or in any part of our business. This statement is made pursuant to Section 54 of the UK Modern Slavery Act 2015 and equivalent transparency-in-supply-chains obligations in other jurisdictions.

Supplier code of conduct. All suppliers, agents, and contractors providing goods or services to HK BAUSHUN are required to comply with our Supplier Code of Conduct, which prohibits forced labour, child labour, debt bondage, and human trafficking, and requires compliance with applicable wage, hour, health, and safety laws. We assess high-risk suppliers before engagement and re-assess them at least annually.

If you have information about a potential breach of this Section, please contact legal@baotongshun.com. Reports made in good faith will not result in retaliation.

17. Termination

By you. You may stop using the Services at any time and may close your account by following the in-app “Delete account” flow or by emailing support@baotongshun.com.

By us. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including (without limitation) where we reasonably believe that you have breached these Terms, that continued provision would create a security or legal risk, or that we are required to do so by law or by a competent authority.

Effect. Upon termination: (i) the licences granted to you in Section 4 and Section 8 end immediately; (ii) you must stop using the Services and uninstall the mobile app; and (iii) the following Sections survive: 6, 7, 11, 12, 13, 18, 19, 21, and 22, together with any other provision of these Terms that by its nature is intended to survive.

18. Governing Law

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.

19. Dispute Resolution

Informal resolution first. Before commencing arbitration, the parties shall attempt in good faith to resolve any dispute by sending a written notice of dispute to the other party at the addresses in Section 22. The notice must describe the dispute and the relief sought. The parties shall attempt informal resolution for a period of at least sixty (60) days from receipt of the notice.

Arbitration. Any dispute that cannot be resolved informally will be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules in force at the time of filing. The seat of the arbitration is Hong Kong. The language of the arbitration is English. The tribunal will consist of three (3) arbitrators, appointed in accordance with the HKIAC Rules (each party nominating one arbitrator and the two party-nominated arbitrators nominating the presiding arbitrator).

Class-action waiver. To the maximum extent permitted by applicable law, all arbitrations and court proceedings will be conducted only on an individual basis. Neither you nor HK BAUSHUN will seek to have any dispute heard as a class action, consolidated action, or representative action. If this waiver is found to be unenforceable in a particular case, the class, consolidated, or representative claim may be litigated in court and severed from arbitration.

Injunctive-relief carve-out. Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction in Hong Kong in aid of arbitration, including to prevent the misappropriation, infringement, or unauthorised use of intellectual property or confidential information. Such application does not waive the agreement to arbitrate.

Consumer rights. Nothing in this Section limits any non-waivable right you have under the consumer-protection law of your country of residence.

20. Changes to Terms

We may update these Terms from time to time. The current version will always be posted at this URL with an updated “Last updated” date and a version number. For any material change, we will give you at least thirty (30) days’ notice by email to the address associated with your account and by a banner inside the mobile app and on baotongshun.com. Your continued use of the Services after the effective date of a change constitutes acceptance of the updated Terms.

Non-material changes (for example, contact-detail updates, typographical corrections, and clarifications that do not narrow your rights) take effect on publication.

21. Severability & Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, the provision will be severed; the remaining provisions will remain in full force and effect.

These Terms (including the documents referenced in them, such as the Privacy Policy) constitute the entire agreement between you and HK BAUSHUN with respect to the Services and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral, regarding the Services.
